Faegre & Benson advises clients regarding the intellectual property and business issues associated with technology and licensing transactions. We structure, draft and negotiate all types of intellectual property agreements—always with an eye toward protecting our clients' innovations. We recognize that licensing is most effective when underlying intellectual property rights are strong and, in crafting technology and licensing deals, we conduct due diligence on factors that impact valuation.

Internet, computer and e-commerce transactions. In representing purchasers and vendors of information technology, we advise on contract language, negotiations, transactions, RFP response and regulatory compliance. We also help companies develop processes and relationships to engage in online commerce of goods and services. We advise companies on launching Web sites, raising capital, acquiring Internet-related companies, developing strategic partnerships, managing international data issues, and developing agreements.

Outsourcing. We manage complex business process outsourcing and information technology outsourcing transactions throughout the world. We represent buyers and sellers of outsourcing services and negotiate contracts and relationships with leading technology and service providers. Our team also advises outsourcing providers on issues such as ASP services, supply chain management, global call-center services, manufacturing issues and data storage.

Content and brand licensing. Our attorneys structure, draft and negotiate agreements involving trademarks and content while conducting due diligence. We handle copyright and trademark licenses; franchise agreements; sponsorship agreements; database licenses; content clearances and licenses; contests, sweepstakes and prize draws; and advertising agreements.

Sales, distribution and reseller agreements. We prepare and negotiate sales and distribution agreements for use in major markets around the world. We counsel clients on the legal, regulatory and risk issues involved when selling products and services internationally. We help clients address these issues on an individual deal basis and through development of companywide policies.
